1. Agreement to Terms

By accessing or using the website located at bookerbookkeeping.com (the "Site") or by engaging the services of Booker Bookkeeping, Tax, & Consulting ("Company," "we," "us," or "our"), you ("Client" or "you") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, please do not use this Site or engage our services.

These Terms apply to all visitors, users, and clients who access or use the Site or any services provided by Booker Bookkeeping, Tax, & Consulting.

2. Services Provided

Booker Bookkeeping, Tax, & Consulting provides bookkeeping, tax preparation, tax planning, payroll processing, financial reporting, and related consulting services to small and mid-sized businesses ("Services"). The specific scope of Services provided to each client will be outlined in a separate engagement letter or service agreement ("Engagement Agreement") signed by both parties.

These Terms govern general use of the Site and supplement, but do not replace, any Engagement Agreement. In the event of a conflict between these Terms and a signed Engagement Agreement, the Engagement Agreement controls.

3. Not Legal or Investment Advice

The content on this Site — including blog posts, guides, videos, downloadable resources, and any other materials — is provided for general informational and educational purposes only. Nothing on this Site constitutes legal, tax, investment, accounting, or financial advice tailored to your specific situation.

Engaging with our content or downloading resources does not create a client-accountant relationship. A formal client relationship is only established upon execution of a signed Engagement Agreement. Always consult a qualified professional before making financial or tax decisions based on general information.

4. Accuracy of Information

We make reasonable efforts to ensure that all information on this Site is accurate and up to date. However, tax laws, regulations, and accounting standards change frequently. We do not warrant that any information on this Site is complete, current, or free from error. We are not liable for any decisions made or actions taken based on information found on this Site.

5. Use of the Site

You agree to use this Site only for lawful purposes and in a manner consistent with all applicable laws and regulations. You agree not to:

  • Use the Site in any way that could damage, disable, or impair its functionality
  • Attempt to gain unauthorized access to any portion of the Site

7. Lead Magnets and Downloadable Resources

By submitting your information to access a free guide, video training, checklist, or other downloadable resource ("Lead Magnet"), you agree to receive follow-up communications from Booker Bookkeeping, Tax, & Consulting, including email and text messages, related to our services and educational content. You may opt out of these communications at any time by following the unsubscribe instructions included in each message.

Lead Magnet content is provided for informational purposes only and does not constitute professional accounting, tax, or legal advice. Results described in Lead Magnets are for illustrative purposes and are not guaranteed.

8. Client Responsibilities

Clients who engage our Services agree to:

  • Provide accurate, complete, and timely documentation, records, and information required to perform the Services
  • Notify us promptly of any changes to business structure, ownership, or financial circumstances that may affect the Services
  • Review all work product delivered and notify us of any errors or discrepancies within a reasonable timeframe
  • Comply with all applicable laws regarding their own business operations

Booker Bookkeeping, Tax, & Consulting is not responsible for errors, penalties, or unfavorable outcomes resulting from a client's failure to provide accurate or complete information.

9. Payment Terms

All fees and payment schedules for Services are outlined in the applicable Engagement Agreement. Unless otherwise specified:

  • Invoices are due upon receipt unless other terms are agreed in writing
  • Accounts more than 30 days past due may be subject to a late fee or service suspension
  • Disputed charges must be reported in writing within 15 days of the invoice date

We reserve the right to suspend Services for accounts with outstanding balances.

10. Confidentiality

We treat all client information as strictly confidential. We do not sell, share, or disclose your financial or personal information to third parties except as required by law, as necessary to perform the Services (e.g., filing returns with the IRS or state tax authorities), or with your explicit written consent.

11. Limitation of Liability

To the fullest extent permitted by law, Booker Bookkeeping, Tax, & Consulting shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site, your reliance on information found on the Site, or any errors or omissions in the Services provided.

Our total liability to any client for any claim arising from the Services shall not exceed the total fees paid to us by that client in the three (3) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Booker Bookkeeping, Tax, & Consulting and its owner, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of the Site, your breach of these Terms, or your misrepresentation of any information provided to us.

13. Third-Party Links and Tools

This Site may contain links to third-party websites, tools, or services (such as QuickBooks, TaxDome, or ADP). These links are provided for your convenience only. We do not endorse, control, or assume responsibility for any third-party content or services. Your use of third-party platforms is governed by their respective terms and privacy policies.

14. Termination

Either party may terminate a client engagement by providing written notice in accordance with the terms of the applicable Engagement Agreement. Upon termination, you remain responsible for all fees incurred through the date of termination. We will return or transfer your financial records and data in accordance with applicable professional standards and the terms of your Engagement Agreement.

15. Governing Law

These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of law provisions. Any legal action arising from these Terms shall be filed in the appropriate courts of Minnesota.

16. Changes to These Terms

We reserve the right to update or modify these Terms at any time. When we do, we will update the "Last Updated" date at the top of this page. Your continued use of the Site or Services after any changes constitutes your acceptance of the revised Terms. We encourage you to review this page periodically.
